PURPOSE The purpose of this Association shall be: To foster, promote, and advance the understanding and development of youth basketball To promote goodwill, sportsmanship, and good welfare among its members To improve the efficiency and effectiveness of its members to aid in achieving the above stated purpose. A non-profit organization established entirely for the benefit of Abington’s children who participate in the youth basketball program. In the case of dissolution of the ABINGTON YOUTH BASKETBALL ASSOCIATION, any monies and/or equipment of the Association will be given to the Park and Recreation Department of Abington to be dispersed for the sole purpose of the youth basketball program in Abington. “Notwithstanding any other provision of these purposes, the Association shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from Federal Income Tax under Line #501(c)(3) of the Internal Revenue Code of 1954 (or corresponding provision of any future United States Internal Revenue Law) or (b) by an organization, contributions to which are deductible under Line #170(c)(2) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United State Internal Revenue Law).” MEMBERSHIP 1. a) Voting members of this Association shall consist of all Executive Board members. Coaches, assistant coaches, parents and/or guardians of any child who participated during the previous basketball season may attend meetings and have the right to be a voting member of the Association at the annual election meeting. Members must be physically present at a meeting for their votes to count. All voting members will have been active program supporters during the current basketball year, July 1 through June 30. All members and officers of this organization are strictly volunteer, non-salaried people not compensated in any way. This article will be in effect as long as the Abington Youth Basketball Association is in existence. EXECUTIVE BOARD The officers of this Association shall consist of a President, Vice President, Secretary, Treasurer, Equipment Manager, Scheduler and Registrar; who along with eight (8) At-Large Executive Members shall constitute the Executive Board. The officers and the executive board members shall be elected by ballot at the annual meeting of the Association. They shall hold office for two (2) years and may be eligible for re-election. The terms of office of President, Treasurer, Equipment Manager and four (4) Executive Board Members shall be elected in odd years and the terms of office of Vice President, Secretary, Scheduler, Registrar, and four (4) Executive Board Members shall be elected in even years. Elections shall be held at the annual meeting in April and all voting members shall be notified. Newly elected Executive Board Members will assume their duties as of June 1st. Outgoing Executive Board Members will end their respective terms on June 30th of each year, thereby, achieving continuity of service. The Executive Board shall appoint an Election Committee, which should consist of three (3) former Executive Members. Part of all Board Members’ duties will be to search out and recruit persons to run for any position that may occur in the annual election or when a vacancy occurs. Any board member absenting himself/herself from three (3) consecutive executive or general meetings during any basketball year without just cause may have his/her office declared vacant at the discretion of the Executive Board. The Executive Board must meet in full session in order to remove any member from active Board service. The Executive Board shall transact all business of the Association and shall have power to enforce the laws of the game, the rules of the Abington Youth Basketball Association, and the constitution and by-laws of the Association. The Executive Board shall have the power to perform due diligence with respect to the age limits and registration fees of the Association’s competition. A minimum of eight (8) Executive Board Members shall constitute a quorum at all meetings of the Executive Board. No more than one member of any immediate family shall be a member of the Executive Board. A resignation by a Board member must be presented in writing to the President and the President shall notify the Board of such resignation by the next meeting. The Board will decide when to place the vacancy on the Board open for nominations and voting, but no later than the next annual meeting. PRESIDENT The President of the Association shall have the following responsibilities: The President will preside at all meetings. The President will pass upon and approve all expenses of the Association. The President shall approve all committee formations. The President shall annually appoint an Auditing Committee, consisting of two (2) voting members to review the Treasurer’s books and to certify his/her financial report annually. The President shall notify voting members by public notification of any vacancy on the Board and shall call for nominations and election to fill said vacancy as directed by the Board. VICE PRESIDENT The Vice President shall succeed to the powers of the President, in his/her absence. The Vice President shall supervise the scheduling of all Association games by October 15th of each year. The Vice President shall supervise the scheduling of all referees for all Association games and delegate the responsibility to make sure all games are covered weekly. The Vice President is responsible to review all the referees of the rules of Abington Basketball. The Vice President shall have the power to settle any dispute or protests pertaining to play on the court. The Vice President shall arrange for the proper insurance to be in place for all association activity. The Vice President shall supervise the scheduling of all scorers for all Association games and delegate the responsibility to make sure all games are covered weekly. SECRETARY The Secretary shall record the minutes of all meetings, attend to all correspondence, and keep the records of the Association. The Secretary shall keep a complete list of all voting members. The Secretary shall maintain a permanent set of Association minutes, correspondence, and by-laws. The past and current year’s records shall be available at all Executive Board and general meetings. The Secretary shall be responsible for notifying all Executive Board members of any upcoming scheduled or unscheduled meetings. The Secretary shall be required to mail or e-mail the minutes of the previous meeting to all Executive Board Members at least one week before the next meeting unless the meeting is less than two weeks away, if less than two weeks, then copies of the minutes can be given out at the next meeting. TREASURER The Treasurer shall collect all registration fees and all other monies derived from the activities of the Association and have charge of all money of the Association. The Treasurer shall keep a detailed account of income and expenditures of the Association. The Treasurer shall pay all bills properly passed upon and approved by the President. Checks over $500.00 must be co-signed by the President or the Vice President and Treasurer. The Treasurer shall submit a written financial report at each meeting detailing total funds collected, dispersed and available for future use. The Treasurer shall submit a detailed annual financial report, audited by the Auditing Committee at the end of June of each year. The fiscal year shall run from July 1 through June 30. This annual financial report shall be submitted to the Executive Board. The Treasurer shall maintain a permanent record of bids received for the purchase of equipment. Three (3) bids for each purchase of like equipment in excess of $1,000 shall be required before the Executive Board can approve an equipment purchase. The purchase decision to be made by the Board shall be made by considering the price, quantity, quality and delivery promised. All expenses of $150.00 or greater need to be approved by a simple majority of the Executive Board in advance. EQUIPMENT MANAGER The Equipment Manager shall have full charge of all equipment and uniforms of the Association. The Equipment Manager shall obtain bids for equipment where necessary. The Equipment Manager will be responsible to make sure that each team is properly equipped and uniformed for the upcoming season. The Equipment Manager will submit a list of equipment needed for the upcoming playing season to the Executive Board prior to that season’s registration. The Equipment Manager will submit annually to the Executive Board, a detailed inventory of equipment. The Equipment Manager shall be responsible for collecting all equipment at the end of each season for inventory purposes. The Equipment Manager shall receive in writing any requests for use of any properties and/or equipment belonging to Abington Youth Basketball Association. Such requests shall be reviewed and acted upon by a majority of the Executive Board within fourteen (14) days. REGISTRAR The Registrar shall be responsible for the proper and legal registration of all players and coaches for season. The Registrar shall act as a liaison between the Executive Board and division coordinators. The Registrar shall approve all player replacements and shall appoint replacement players from the top of the waiting list. The Registrar shall report such actions to the Executive Board. The Registrar shall maintain a waiting list for all competitive grade groups. The waiting list order shall be determined by date of registration. The Registrar shall submit a list, with recommendations by group, of individuals who have registered to coach and assistant coach for the Executive Board to review and vote on. Anyone wishing to be a coach must notify the Registrar in writing prior to the upcoming basketball season. SCHEDULER Scheduler will be responsible for the preparation of the master schedule of all Association events such as games, skill sessions, practices, playoffs, draft days and clinics with the appropriate gyms and rooms. The Scheduler is responsible for ensuring that all make up events are scheduled accordingly. The Scheduler shall be the primary contact for the Association with the appropriate Town Officials (Schools, Park and Recreation, etc.) AT-LARGE EXECUTIVE MEMBERS At-Large Executive Members shall give assistance to the Association in fundraising, registrations, publicity, (picture day, web site, CORI forms) and general operations of the Association (such as the draft day, clinics and coordinating at least one age group). The purpose of the At-Large Members is to improve the efficiency and effectiveness of the Association in achieving its purposes as directed by the Board. COMMITTEES A Grievance Committee shall constitute three (3) members of the Executive Board. The fourth member shall be the alternate. Should a member of the Grievance Committee be associated in any way with the protest, he or she shall dismiss himself or herself and the alternate shall take over his or her place. The President shall appoint the Committee and the Vice President shall preside at the proceedings. All grievances shall be forwarded to the Vice President in writing within five (5) days of the alleged grievance. The results of the Committee findings are final. They will be reported to the entire Executive Board by the following meeting of the Executive Board. Rules Committee – A Rules Committee shall be appointed every one (1) year to review the Rules of the Abington Youth Basketball Association. The Committee shall consist of at lease three (3) members of the Executive Board. Additional Committees to be appointed as needed and voted upon by the Executive Board. MEETINGS All Association meetings will be open meetings. Meetings will be held monthly unless otherwise voted on by the members. There shall be a minimum of three (3) general meetings per year, one which will be the annual meeting to be held during the month of April for the election of officers and at-large executive board members. The order of business of all Association meetings shall be: Roll call Minutes of previous meeting Report of Treasurer Communications Unfinished business Report of committees Special reports New business Good of basketball Adjournment A minimum of eight (8) voting members shall constitute a quorum at all meetings. A majority of votes cast shall decide all questions except amendments to the by-laws which shall require a majority of two-thirds (2/3) of the votes cast. Any proposed by-law amendment must be submitted in writing and will be acted on at a monthly meeting. In case of doubt as to procedure at any meeting of the Association, ROBERT’S RULES OF ORDER shall govern. REFEREES All games under the jurisdiction of this Association shall be played under the rules of the Abington Youth Basketball Association and as amended by the Association. The official referee shall be the sole judge on the court, and his/her decision shall be final. No protests, based on referee decisions, shall be allowed. Any complaints about an official referee shall be directed in writing to the Vice President. Referees shall report in writing to the Executive Board any cases of misconduct and/or foul and abusive language. Referees must inform any player or coach that he/she is placed on report to the Executive Board. RULES OF PLAY Each player shall play according to the Abington Youth Basketball Association Rules. The Executive Board must draw up Abington Youth Basketball Association rules prior to the beginning of each season of play. These rules must be presented at the October general meeting. All players must play within their age group. CODE OF CONDUCT Players shall conduct themselves in a sportsman-like manner at all times. Players shall not use foul and abusive language. Players cautioned and/or sent off the basketball court shall be subject to disciplinary action as deemed appropriate by the Executive Board. All coaches must fill out a CORI form each season and submit to the registrar prior to the start of the season or they will not be allowed to coach. Coaches shall at all times conduct themselves in a sportsman-like manner. Coaches shall not have or be under the use and/or influence of tobacco products, alcoholic beverages, or illegal narcotics while at the game or at practice. Coaches shall abide by the By-laws and Rules of the Association. Coaches sent off the basketball court and/or cautioned during a game for misconduct shall be subject to disciplinary action as deemed appropriate by the Executive Board. MISCELLANEOUS Abington Youth Basketball Association By-laws shall be reviewed the minimum of every three (3) years starting in 2008.
